TERMS OF SERVICE AND USER AGREEMENT

The Terms and Conditions (Terms or User Agreement)) contained on this website and/or mobile application (the Platform) constitute a legal agreement between You, a prospective user of Services offered by PayS and Asharami Innovations Limited through PayS (PayS, we, our or us) and shall govern your access to and use of our Services which include all features within the PayS website, mobile application(s) and other products and services (collectively referred to as the Services). These Terms apply in full force and effect to your use of the Services and by using any of the Services, you expressly accept all terms and conditions contained herein in full and without limitation or qualification, including our Privacy and Cookie Policy. You must not use any of the Services, if you have any objection to any of these Terms. Further, you must be at least 18 years old to use this website. By using our website and/or mobile application and by agreeing to these terms and conditions, you hereby warrant and represent that you are at least 18 years of age.

1.The PayS Platform:

1.1 The PayS Platform (Platform) is an Utility Payment solution that enables businesses to process customers payments in collaboration with its partners. Providing Bill payment services to utilities and their bill payment partners, PayS enables the receipt of payment from customers via managed customer websites and the extension of Payment integrations to 3rd Party businesses.

1.2. This platform is owned and operated by Asharami Innovations Limited, a company duly registered under the laws of the Federal Republic of Nigeria.

2.User Consent:

2.1. By using the Platform, you warrant that you are at least 18 years old or a duly registered corporate entity and are legally capable of entering into binding contracts. You consent to the collection, storage, processing, analysis, sharing, and usage of your data as described in these Terms of Service and our Privacy Policy.

2.2. You agree to provide accurate, current and complete information about yourself or your organization (as applicable) as requested on the Platform and agree to update such information in the event of changes.

2.3. You agree not to:

  • use the Platform in any way that is, or may be, damaging to Asharami Innovations Limited;
  • use the Platform in any way that impacts user access to the Platform;
  • use the Platform contrary to applicable laws and regulations, or in a way that causes, or may cause, harm to Asharami Innovations Limited, or to any person or business entity;
  • engage in any data mining, data harvesting, data extracting or any other similar activity in relation to the Platform, or while using the Platform; or
  • use this Platform to engage in any advertising or marketing.

2.4. You acknowledge that your data may be used for marketing and regulatory purposes, which may include personalized marketing communications based on your preferences and relevant regulatory requirements.

3.Data Collection and Usage:

3.1. Data Collection: We collect various types of data, including personal information, contact information, transaction details, device information, and usage data, to provide and improve our services. We also receive information about the device and software you use to access the services offered on our Platform, including Internet Protocol (IP) address, location, web browser type, operating system version, and device identifiers.

3.2. Data Processing and Analysis: We process and analyze the collected data to enhance our Platform's functionality, detect and prevent fraud, improve user experience, and comply with regulatory requirements. To help us better understand how you use our services, and to help us improve them, we receive information about your interactions with the services, including records of your transactions and information about your other activities related to our services.

3.3. Data Sharing: We may share your data with trusted third-party service providers, financial institutions, regulatory authorities, and marketing partners, as necessary for the operation of our platform and to fulfill legal obligations. We do not sell, trade or rent personal data to anyone. Further, we will not share or disclose your personal data with a third party without your consent except as necessary to provide the services or as described in the Privacy Policy.

3.4. Marketing Communications: We may use your data to send you marketing communications about our services, promotions, and relevant third-party offers. You have the right to opt-out of such communications at any time. We also use cookies and similar technologies on our website and mobile applications for the collection of information and to operate the site. We use these technologies to optimize the experience of our users, ensure that your account security is not compromised, mitigate risk and prevent fraud; and to promote trust and safety on our website.

4.User Responsibilities:

4.1. Accurate Information: You are responsible for providing accurate and up-to-date information during the registration process and while using the PayS Platform.

4.2. Security: You are responsible for maintaining the security of your account credentials and any activity occurring under your account.

4.3. Prohibited Activities: You agree not to engage in any unlawful, fraudulent, or unauthorized activities on the Payment Platform, including but not limited to hacking, spamming, or violating any applicable laws or regulations.

5.Intellectual Property:

5.1. Ownership: The Platform and all its contents, including but not limited to trademarks, logos, designs, and software, are the intellectual property of Asharami Innovations Limited and its licensors.

5.2. Limited License: We grant you a limited, non-exclusive, non-transferable license to use the Platform solely for its intended purposes. You shall not modify, copy, distribute, or exploit the Platform or its contents without our prior written consent.

6.Limitation of Liability:

6.1. Disclaimer: The Platform is provided on an "as is" and "as available" basis. We do not guarantee the accuracy, reliability, or availability of the platform, and you use it at your own risk.

6.2. Indemnification: You agree to indemnify and hold Asharami Innovations Limited, its affiliates, and their respective officers, directors, employees, and agents harmless from any claims, damages, liabilities, or expenses arising out of your use of the Platform or any breach of these Terms of Service.

  1. Transfer of Data: As part of our service provision, we may rely on third-party servers, databases co-located with hosting providers, resident in foreign jurisdictions, which constitutes the transfer of your personal data to computers or servers in foreign countries. We take steps designed to ensure that the data we collect under our Privacy Policy is processed and protected according to the provisions of our Policy and applicable law wherever the data is located.

8.Modifications and Termination:

8.1. Modifications: We reserve the right to modify or update these Terms of Service at any time. We will notify you of any material changes, and your continued use of the Payment Platform constitutes your acceptance of the revised terms.

8.2. Termination: We may also decide to suspend or terminate your access to the Platform where you have breached any provisions of these Terms. Any termination of this Agreement (however occasioned) shall not affect any accrued rights or liabilities nor shall it affect the coming into force or the continuance in force of any provision hereof which is expressly or by implication intended to come into or continue in force on or after such termination.

9.Storage Limitation:

Personal Data shall be processed and stored for a period of 10 years and subsequently archived. However:

a. Personal Data collected for purposes related to the continuous use of services provided by Asharami Innovations limited shall be retained and used until said service is no longer provided by Asharami Innovations Limited or used by you.

b. Personal Data collected for the purposes of Asharami Innovations Limiteds legitimate interests shall be retained as long as needed to fulfill such purposes. Specific information regarding the legitimate interests has been provided within the relevant sections of this document or will be made available by contacting Asharami Innovations Limited.

10. Choices and Rights:

Individuals who enter Personal Identifiable Information (PII) into our Platform are entitled to exercise the following rights:

a. Right to withdraw any consent given under these Terms of Service;

b. Right to request for and access any Personal Identifiable Information collected and stored;

c. Right to be informed regarding the usage of their Personal Identifiable Information by the Platform; d. Right to be informed about appropriate safeguards in place where data is transferred abroad;

e. Right to object to automated decision-making and processing;

f. Right to request rectification and modification of their Personal Identifiable Information which Asharami Innovations Limited keeps;

g. Right to request the deletion/erasure of their data;

h. Right to request the movement of data from Asharami Innovations Limited to a third party - this is the right to the portability of data;

i. Right to revoke consent;

j. Right to object to direct marketing, and to request that Asharami Innovations Limited restricts the processing of their information; and

k. Right to submit a complaint to the National Information Technology Development Agency (NITDA).

  1. Updates, Modifications & Amendments

We may need to update, modify or amend our Terms and Policy at any time. We reserve the right to make changes to these Terms.

We advise that you check this page often, referring to the date of the last modification on the page.

  1. Notices

All notices given by you to us should be given to us via email to hello@asharami-innovations.io or help@pays-app.com. Asharami Innovations Limited may give notice to you either via e-mail, via the Platform or a postal address you provided when registering on the platform. Notices will be deemed received and properly served immediately when posted on our Platform, 24 hours after an e-mail is sent, or three days after the date of posting of any letter.

  1. Applicable Law and Jurisdiction:

These Terms, their subject matter and their formation, are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms, including any question regarding existence, validity or termination of these Terms, shall be referred to and finally resolved by any alternative dispute resolution mechanism as agreed by the parties or in the alternative, the Nigerian courts.

  1. Entire Agreement:

These Terms (including any supplemental terms) constitute the whole legal agreement between you and the Platform and govern your use of the Services and completely replace any prior agreements between you and the Platform in relation to the Services.

  1. Miscellaneous Provisions:

a. We reserve the right to terminate, change, suspend or discontinue any aspect of the Platform at any time and without notice.

b. We reserve the right to amend these Terms of service at any time and at our sole discretion. We shall give you notice of such amendment by publication of the amended version via the Platform. Your continued access to and use of the Platform is your acceptance of and compliance with the updated Terms of service. If you disagree with any part of hereof, do not access the Platform.

c. You are responsible for your connection to the mobile phone networks, the internet and all costs associated with these connections.

d. All copyright, trademarks and other intellectual property rights used as part of our Services or contained on the Platform belong to us or its licensors. Nothing set forth in this Terms of service shall constitute a transfer, license or assignment by us to you of any intellectual property rights owned by us or displayed on the platform

e. If any provision of this Terms of Service is declared unlawful and/or unenforceable by operation of law, any court or authority, such provision be severed from these Terms of Service and rendered ineffective so far as is possible without modifying the remaining provisions of this agreement.

f. You agree that regardless of any provision of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the platform or the Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred and extinguished.

g. You acknowledge and agree that this Terms of Service be interpreted and enforced in accordance with the laws of the Federal Republic of Nigeria.

h. The parties shall use their best efforts to amicably settle all disputes arising out of or in connection with the performance or interpretation of this terms and conditions. Any dispute or differences arising out of the construction, interpretation or performance of the obligations created under this relationship which cannot be settled amicably within one (1) month after receipt by a party of the other party's request for such amicable settlement shall be submitted to a court of competent jurisdiction in the Federal Republic of Nigeria.

  1. DISCLAIMER:

16.1. IN NO EVENT SHALL ASHARAMI INNOVATIONS BE LIABLE FOR:

a. UNAVAILABILITY OF THE PLATFORM AT ANY TIME OR YOUR INABILITY TO USE THE PLATFORM.

b. ANY FORM OF DELIVERY OR FAILURE THEREOF BY A FINANCIAL INSTITUTION, MERCHANT OR TELECOMMUNICATION COMPANY LISTED ON THE PLATFORM.

c. ERRONEOUS INPUT OF TRANSACTION DETAILS.

d. ANY LOSS ARISING FROM ANY FAILURE OR DELAY IN ANY MOBILE PHONE NETWORKS OR INTERNET SERVICE PROVIDER OR DEFECTIVE DEVICE.

e. ANY SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, HOWEVER CAUSED.

UNDER NO CIRCUMSTANCES SHALL IT BE IMPLIED THAT WE ENDORSE, SPONSOR, CERTIFY OR OTHERWISE GUARANTEE THE SALE OR USE OF ANY MERCHANTS PRODUCTS AND/SERVICES LISTED ON THE PLATFORM. USE AND/OR PURCHASE OF SAME SHALL BE AT YOUR OWN RISK.

WE SHALL USE OUR BEST ENDEAVOURS TO ENSURE THE PLATFORM FUNCTIONS OPTIMALLY AT ALL TIMES AND OUR SYSTEMS ARE FREE FROM VIRUSES AND BUGS. HOWEVER, WE CANNOT ENSURE SUCH EXCLUSION, AND NO LIABILITY IS ACCEPTED FOR SAME. HENCE, IT IS RECOMMENDED YOU PUT IN PLACE YOUR OWN SECURITY MEASURES. WE DO NOT WARRANT THAT THE OPERATION OF THE PLATFORM WILL BE UNINTERRUPTED NOR ERROR FREE, NOR WILL IT BE 100% FRAUD OR FAIL PROOF. WE ARE PROVIDING THE SERVICE AS IS WITHOUT ANY EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SERVICES OR ITS CONDITION, TIMELINESS, MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE OR USE BY YOU. WE DO NOT ACCEPT RESPONSIBILITY FOR THE DELETION OR FAILURE TO STORE ANY USER COMMUNICATION, ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE IN THIS REGARD.

ASHARAMI INNOVATIONS SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY YOU AS A RESULT OF:

  • ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY OR EXISTENCE OF ANY ADVERTISING, OR AS A RESULT OF ANY RELATIONSHIP OR TRANSACTION BETWEEN YOU AND ANY ADVERTISER OR SPONSOR WHOSE ADVERTISING APPEARS ON THE SERVICE;
  • ANY CHANGES WHICH WE MAY MAKE TO THE SERVICES, OR FOR ANY PERMANENT OR TEMPORARY CESSATION IN THE PROVISION OF THE SERVICES (OR ANY FEATURES WITHIN THE SERVICES);
  • THE DELETION OF, CORRUPTION OF, OR FAILURE TO STORE, ANY CONTENT AND OTHER COMMUNICATIONS DATA MAINTAINED OR TRANSMITTED BY OR THROUGH YOUR USE OF THE SERVICES;
  • YOUR FAILURE TO PROVIDE US WITH ACCURATE ACCOUNT INFORMATION;
  • OR YOUR FAILURE TO KEEP YOUR PASSWORD OR ACCOUNT DETAILS SECURE AND CONFIDENTIAL.

MEMBERSHIP TERMS

1 Value Added Services Provision

PayS may now, or in the future, by itself or in conjunction with a 3rd party service provider or partner, design and deliver value added services that leverage usage data generated, 3rd party data, and technology (software, algorithms, models) to offer customers a more personalised experience. These include the following:

a. Energy advance

  • Customers shall be able to access limited energy advance for prepaid meters, subject to eligibility requirements set by PayS and/or its partners.
  • An energy advance provided to a customer will be tied to the meter provided at request and recoverable upon the next vend/purchase on that meter.
  • PayS reserves the right to explore other means beyond its Platform and partners to ensure recovery of energy advance from a recipient.
  • PayS reserves the right to charge a service charge as a deduction on the energy advance.
  • PayS provides no guaranty or warranty that any customer will be found eligible for an energy advance, nor any guaranty that a customers eligibility places a responsibility on PayS to issue an energy advance.
  • Customers provided with an energy advance enter into an undertaking to repay said advance within timelines specified by PayS, and permit PayS to explore alternative means, within reason, to recover said advance which shall include but not be limited to transfer od the advance amount to a new meter in use by the customer, the engagement of recovery agents, lawyers , or law enforcement agencies.
  • PayS places no guarantee on the time taken to fulfil said energy advance, once a user provides a request amount and accepts the offer, as fulfilment delays may arise beyond PayS control. Such delays do not constitute a denial of the energy advance request. All fulfilled energy advance requests resulting in energy vends are taken as received by the customer even if such energy is never used.

b. Loyalty

  • PayS may at its discretion select and offer rewards to customers, on criteria set by PayS.
  • The rewards are on the basis of customer activity, performed or desired by PayS.
  • PayS administers its rewards scheme via loyalty points, tiers and offers. PayS reserves the right to alter, remove and include features within this loyalty scheme without notice to the customers or its partners.
  • PayS partners with merchants, agents, brands and other parties to offer deals or rewards customers. PayS does not warrant the availability of these deals and will ensure that they available on a best effort basis.
  • PayS reserves the right to rescind any rewards offered at any time at its sole discretion.

c. Gifting

  • PayS may offer customers the opportunity to purchase certain products and services for others - irrespective of if the recipient is a PayS customers, or not.
  • PayS does not guarantee that the amount paid by the customer to purchase said product, in cases of one of a combination of the following.

- A required minimum amount,

- A price change,

- or any other product or fulfilment related dependency ?

  • In these cases, PayS will require either the sender or the recipient to make up the difference, or to opt for some other product.
  • Recipients will be contacted based on contact information provided. PayS bears no responsibility for wrong, invalid or incorrect contact information, irrespective of any format checks made available.
  1. Energy insights and other analytics

PayS offers customer insights into underlying services and products accessed. These insights may be generated by the combination of a variety of first and third party, in addiction to proprietary and/or licenced technology. PayS offers no warranties regarding the accuracy of these insights and bears no liability for any action or inactions performed as a result of these insights.

  1. Restricted Activities

You may not use the PayS Platform in connection with any product, service, transaction or activity that:

  • violates any law or government regulation, or promotes or facilitates such by third parties;
  • is fraudulent, deceptive, unfair or predatory;
  • causes or threatens reputational damage to us or any of our partners;
  • results in or creates a significant risk of chargebacks, penalties, damages or other harm or liability.
  1. PaySs Rights

a. PayS suspension and termination rights

PayS, in its sole discretion, reserves the right to suspend or terminate this user agreement, access to or use of its websites, software, systems (including any networks and servers used to provide any of the PayS services) operated by us or on our behalf or some or all of the PayS services for any reason and at any time upon notice to you and, upon termination of this user agreement, the payment to you of any unrestricted funds held in your PayS account.

b. Security interest

As security for the performance of your obligations under this user agreement, you grant to PayS a lien on, and security interest in and to, funds held in your PayS account and any bank account linked to your BVN.

c. Amounts owed to PayS

If the balance in your PayS account becomes negative for any reason, that negative balance represents an amount that you owe to PayS. PayS may deduct these amounts from funds that are added to your PayS account later, either by you or from payments you receive. If you have more than one PayS account, we may set off a negative balance in one PayS account against a balance in your other PayS account(s), including a Balance Account. If you continue using your PayS account when it has a negative balance, you authorize PayS to combine the negative balance with any debit or transaction sent from your account when that combination is disclosed to you in advance of initiating the debit or transaction.

In addition to the above, if you have a past due amount owed to us or our affiliates, PayS may debit your PayS account to pay any amounts that are past due.

  1. Actions by PayS

If, in our sole discretion, we believe that you may have engaged in any violation of these terms, we may (with or without notice to you) take such actions as we deem appropriate to mitigate risk to PayS and any impacted third parties and to ensure compliance with these terms. Such actions may include, without limitation:

  • Blocking the settlement or completion of one or more transactions;
  • Suspending, restricting or terminating your access to and use of the PayS Services;
  • Terminating our business relationship with you, including termination without liability to PayS of any payment;
  • Taking legal action against you;
  • Contacting and disclosing information related to such violations to (i) persons who have sold/purchased goods or services from you, (ii) any banks or Card Networks involved with your business or transactions, (iii) law enforcement or regulatory agencies, and (iv) other third parties that may have been impacted by such violations; or
  • Assessing against you any fees, penalties, assessments or expenses (including reasonable attorneys fees) that we may incur as a result of such violations, which you agree to pay promptly upon notice.
  1. Closing Your PayS Account

You may close your PayS account and terminate your relationship with us at any time without cost, but you will remain liable for all obligations related to your PayS account even after the PayS account is closed.

When you close your PayS account, we will offer the following options:

a. Account closure only

i. Your Account information will be deleted, however you may sign-up with the same credentials to access your transaction data, all other data previously provided by you or made available to you will not be recoverable.

b. Account closure and transaction data deletion

ii. Please note that transaction data deletion means that such data will no longer be applicable to you even if you were to create an account with the same credentials

iii. Transaction will be processed and handled in accordance with our extant policies.

However, kindly note that if there are any funds owed to PayS at the point of closing your Account, such funds owed will be withdrawn from any funds available in your Account. You cannot withdraw or transfer any utility credits purchased to another Account, same must either be utilized or forfeited.

Upon deletion, we will deactivate the wallet funding fund via bank transfer - method, to prevent/limit subsequent funding. PayS will not be held for funds unrecoverable due to transfers made via this channel after account deletion.

In certain cases, you may not close your PayS account, including:


  • To evade an investigation.
  • If you have a pending transaction or an open dispute or claim.

- You may have transactions deducted from your wallet, the value of which is being held unto pending transaction completion/fulfilment.

- PayS strives to ensure that all initiated transactions are either completed or reversed in cases where we are unable to complete said transactions

- If your PayS account has a non-zero balance. PayS operates a closed-loop wallet that does not support withdrawals. However, able to delete your wallet by making for or purchasing any services or products offered

  • If your PayS account is subject to a hold, limitation or reserve.

Other Legal Terms

a. Communications Between You and Us

i. If you provide us your mobile phone number, you agree that PayS and its affiliates may contact you at that number using autodialed or prerecorded message calls or text messages to: (i) service your PayS accounts, (ii) investigate or prevent fraud, or (iii) collect a debt. We may share your mobile phone number with service providers with whom we contract to assist us with the activities listed above, but we will not share your mobile phone number with third parties for their own purposes without your consent. we nor your phone carriers are liable for delayed or undelivered messages.

ii. PayS may communicate with you about your PayS account and the PayS services electronically via email or using push notifications. You will be considered to have received a communication from us, if its delivered electronically, 24 hours after the time we post it to our website or email it to you. You will be considered to have received a communication from us, if its delivered by mail, 3daysafter we send it. Written notices to PayS must be sent by postal mail to: [ ].

iii. You understand and agree that, to the extent permitted by law, PayS may, without further notice or warning, monitor or record telephone conversations you or anyone acting on your behalf has with PayS or its agents for quality control and training purposes or for our own protection. You acknowledge and understand that while your communications with PayS may be overheard, monitored, or recorded not all telephone lines or calls may be recorded by PayS, and PayS does not guarantee that recordings of any particular telephone calls will be retained or retrievable.

b. Insolvency proceedings

If any proceeding by or against you is commenced under any provision of Nigerian insolvency laws, we will be entitled to recover all reasonable costs or expenses (including reasonable legal fees and expenses) incurred in connection with the enforcement of this user agreement.

c. Assumption of rights

If PayS invalidates and reverses a transaction that you made, you agree that PayS assumes your rights against the recipient and third parties related to the payment, and may pursue those rights directly or on your behalf, in PaySs discretion.

d. No waiver

Our failure to act with respect to a breach of any of your obligations under this user agreement by you or others does not waive our right to act with respect to subsequent or similar breaches.

e. Indemnification and Limitation of Liability

In this section, we use the term PayS to refer to Asharami Innovations Limited and our affiliates, and each of their respective directors, officers, employees, agents, joint venturers, service providers and suppliers. Our affiliates include each entity that we control, we are controlled by or we are under common control with.

i. Indemnification

You must indemnify PayS for actions related to your PayS account and your use of the PayS services. You agree to defend, indemnify and hold PayS harmless from any claim or demand (including reasonable legal fees) made or incurred by any third party due to or arising out of your breach of this user agreement, your improper use of the PayS services, your violation of any law or the rights of a third party and/or the actions or inactions of any third party to whom you grant permissions to use your PayS account or access our websites, software, systems (including any networks and servers used to provide any of the PayS services) operated by us or on our behalf, or any of the PayS services on your behalf.

ii. Limitation of liability

PaySs liability is limited with respect to your PayS account and your use of the PayS services. In no event shall PayS be liable for lost profits or any special, incidental or consequential damages (including without limitation damages for loss of data or loss of business) arising out of or in connection with our websites, software, systems (including any networks and servers used to provide any of the PayS services) operated by us or on our behalf, any of the PayS services, or this user agreement (however arising, including negligence), unless and to the extent prohibited by law.

Our liability to you or any third parties in any circumstance is limited to the actual amount of direct damages suffered by you in relation to your use of the Platform. In addition, to the extent permitted by applicable law, PayS is not liable, and you agree not to hold PayS responsible, for any damages or losses (including, but not limited to, loss of money, goodwill, or reputation, profits, or other intangible losses or any special, indirect, or consequential damages) resulting directly or indirectly from:

1) your use of, or your inability to use, our websites, software, systems (including any networks and servers used to provide any of the PayS services) operated by us or on our behalf, or any of the PayS services;

2) delays or disruptions in our websites, software, systems (including any networks and servers used to provide any of the PayS services) operated by us or on our behalf and any of the PayS services;

3) viruses or other malicious software obtained by accessing our websites, software, systems (including any networks and servers used to provide any of the PayS services) operated by us or on our behalf or any of the PayS services or any website or service linked to our websites, software or any of the PayS services;

4) glitches, bugs, errors, or inaccuracies of any kind in our websites, software, systems (including any networks and servers used to provide any of the PayS services) operated by us or on our behalf or any of the PayS services or in the information and graphics obtained from them;

5) the content, actions, or inactions of third parties;

6) a suspension or other action taken with respect to your PayS account; or

7) your need to modify your practices, content, or behavior, or your loss of or inability to do business, as a result of changes to this user agreement or PaySs policies.

f. Disclaimer of Warranty and Release

i. No warranty

The PayS services are provided as-is and without any representation or warranty, whether express, implied or statutory. PayS specifically disclaims any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.

PayS does not have any control over the products or services provided and PayS cannot ensure the completion of the transaction. PayS does not guarantee continuous, uninterrupted or secure access to any part of the PayS services, and operation of our websites, software, or systems (including any networks and servers used to provide any of the PayS services) operated by us or on our behalf may be interfered with by numerous factors outside of our control. PayS will make reasonable efforts to ensure that transactions are processed in a timely manner but PayS makes no representations or warranties regarding the amount of time needed to complete processing because the PayS services are dependent upon many factors outside of our control, such as delays in the banking system or the Ikeja Electric System or the internet services.

ii. Release of PayS

If you have a dispute with any other PayS account holder, or Ikeja Electric, you release PayS from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
